Cole-Frieman & Mallon'a neden geldik
CFM'i bir rehberden bulmadık.
Ekteki
O halde
ücreti gerçek oranına oturtalım:
A'dan Z'ye tüm hukuki paket ortalama 474.250 dolar (aralık:
390.000–550.000 dolar).
Korumakla görevli olduğu ≈61 milyon dolarlık fonlama programına oranı yaklaşık
%0,78 — kabaca binde sekiz (aralık ≈%0,6–%0,9).
18 aylık 12 milyon dolarlık işletme bütçesine oranı yaklaşık %4.
Sorunumuz ücret değil; vurgumuz orandır. Sizden binde sekizi daha az önemsemenizi
istemiyoruz. Sizden, o binde sekize gösterdiğiniz özeni ≈61 milyon doların tamamının
güvenliği için tasarıma dökmenizi istiyoruz. Öncelik sırası doğru kurulduğunda
güvence kendiliğinden gelir: önce biz güvende olursak, siz her senaryoda —

A Note Before You Read This File
There is a well-known scene in the film Margin Call (2011). It is the middle of
the night, the firm's entire senior leadership has been pulled out of bed, and the CEO,
John Tuld, turns to the junior analyst who first caught the problem. He asks him to
explain it plainly — as one would to a small child, or a golden retriever. Not because
the room is slow, but because the problem is too important to be lost in translation
one more time.
That is the spirit of this file. Let us explain, plainly, why we are here and what
we are asking.
Why we came to Cole-Frieman & Mallon
We did not find CFM in a directory. Bill Duhamel — a friend of ALA's principal and
someone whose judgment we trust — recommended Karl Cole-Frieman personally as the right
lawyer for what we are building. That is why Karl was ranked first among five candidate
firms in the document where this all began:
legal-ally.fifthwallpe.com
What that document asks
It asks CFM to be the spine of an alliance — the Legal Ally: the firm that
designs the structure, holds the escrow, and admits the other allies through a funnel
it builds. In return it offers a share tied to the alliance's success, not to billable
hours. It also leaves a second door open: a conventional fee-based engagement. The
attached report puts real numbers on both doors.
What has actually happened
From our first meeting with Karl to today, two months have passed, and the core
strategy is still not in place. Today we find ourselves facing Brett alone — answering
our questions, for a fee, when time permits. That is, by definition, the vendor
relationship, not the alliance we proposed. We do not say this as a complaint; we say
it as a diagnosis.
Our simple logic
Only two explanations are possible. Either a reader of
legal-ally.fifthwallpe.com
cannot understand what we expect — in which case we wrote it badly, the fault is ours,
and we are correcting it now with this file. Or we wrote it clearly, and the request
thinned out as it passed from Karl to Alex, and from Alex to Brett — in which case this
file restores it at full strength, directly to the person reading it.
The program ahead — and Legal Ally's place in it
What is waiting for us over the next 6 and 18 months is published openly at
funding-masterplan.alevelalliances.com:
an 18-month, $12M operating budget called in three tranches, inside a lifetime funding
program of roughly ≈$61M (the masterplan's current working figure, still under
Alliance Council validation). The Legal Ally's responsibilities across that calendar are
exactly the six work packages priced in the attached report: entity and SPV formation,
converting the handbook into a shareholders' agreement, the 14-ally contract suite,
the escrow and vesting infrastructure, the capital-call and default governance, and the
IP and regulatory filings — about 650 hours of work that must land on this timeline,
not after it.
Detail note for Brett — the job list is here
ally-framework.alevelalliances.com
is the Founders' Handbook: the share table, the escrow and vesting rules, the capital
calls and clawback, and the distribution waterfall are all written there. The six work
packages priced in the attached report are the legal translation of exactly that
handbook — nothing in the job list is invented; every hour of the 650 traces back to a
line on that page. Please read it before our meeting; it answers the "what exactly do
you want drafted?" question in full.
One number to keep in view
We must admit, with some sadness, how the last two months have felt from our side:
the conversation has mostly been about fees. Our priority is the program —
and for us, program equals plan, and plan equals action. So let us put the fee in its
true proportion:
The full A-to-Z legal package averages $474,250 (range $390,000–$550,000).
Against the ≈$61M funding program it is meant to protect, that is about
0.78% — roughly eight per mille (range ≈0.6%–0.9%).
Against the 18-month $12M operating budget, it is about 4%.
The fee is not our problem; the proportion is our point. We are not asking you to
care less about the 0.8%. We are asking you to design for the safety of the entire
≈$61M with the same care you give to that 0.8%. Get the order of priorities right and
security follows by itself: when we are secure, you are secure — in every scenario,
by construction.
What we ask now
Fee, retainer, equity, or the hybrid set out in the report — any of these doors
works for us. What does not work is another two months. Read the report, pick your
door, align it to this program, and let us start by opening the Legal Ally
engagement agreement for signature with us — now. Plan equals action; let's move.
